LSEG Acquires Octus for $3.535 Billion: Proprietary Intelligence Becomes a Strategic Asset in the AI Era

London Stock Exchange Group announced an agreement to acquire Octus for $3.535 billion in cash, purchasing the business from funds advised by Permira and Octus management.

Octus provides proprietary credit intelligence, structured financial information, expert analysis, and workflow tools, particularly for illiquid, private, and distressed credit markets.

The company is expected to generate more than $300 million in revenue in 2026, with an adjusted EBITDA margin of approximately 40%.

LSEG expects the acquisition to be neutral to adjusted EPS in the first full year after completion and accretive thereafter; the transaction will be financed with external debt and remains subject to regulatory approval. Investegate

Why it matters strategically

The transaction highlights an important distinction in the economics of information businesses.

AI can reduce the cost of processing, organizing, and summarizing information.

However, it does not automatically eliminate the value of proprietary information that competitors cannot readily obtain.

Octus combines difficult-to-access credit documentation, specialized analytical expertise, structured data, and workflows integrated into customer operations.

Its value therefore extends beyond publishing financial commentary.

The company provides information and functionality embedded in investment decisions.
