AstraZeneca Reportedly Offers Up to $10 Billion for Rhythm Pharmaceuticals

Reuters reported that AstraZeneca made a nonbinding proposal valued at up to approximately $10 billion to acquire Rhythm Pharmaceuticals. The reported consideration could reach $134 per share, including contingent milestone payments, while Rhythm shares rose approximately 28% to $110.68 following the reports. Rhythm markets Imcivree (setmelanotide), whose FDA-approved indications expanded in March 2026 to include acquired hypothalamic obesity. AstraZeneca declined to comment, and no definitive transaction has been announced.

Why it matters strategically

This would potentially expand AstraZeneca's rare-disease portfolio through Alexion while providing exposure to a differentiated obesity-treatment segment.

Unlike the broader GLP-1 obesity market, Rhythm's opportunity is concentrated in patients with specific underlying causes of obesity.

The commercial question is whether regulatory expansion and additional eligible patients justify the proposed acquisition valuation.
