Marathon Petroleum announced an agreement to sell its St. Paul Park and Mandan refineries and related infrastructure to CVR Energy for a combined $4.2 billion, comprising $3.45 billion to Marathon and $750 million to its MPLX subsidiary. The refineries have combined capacity of 177,000 barrels per day, and Trafigura agreed to become their exclusive crude supplier. Marathon simultaneously reported refining margins of $45.70 per barrel, more than double the prior-year level, and 100% refinery utilization, amid supply disruptions associated with the Iran and Ukraine conflicts. CEO Maryann Mannen said proceeds would be directed primarily toward U.S. Gulf Coast opportunities.

Why it matters strategically
Marathon is selling refining assets during a period of exceptionally strong industry profitability.
This creates a capital-allocation question: why divest operating assets when current margins are favorable?
The answer may involve long-term competitiveness, geographic concentration, maintenance capital, logistics, or the relative value of alternative investments.
Current margins do not establish future returns.
